Terms of Service & End User License Agreement
The terms for using Mozart’s website, software, and connected services.
1. Agreement and scope
These Terms of Service and End User License Agreement ("Terms") govern use of Mozart Financial’s website and business software and services ("Mozart", "we", "us"). By accepting these Terms or using the services, you agree to them on behalf of yourself and, if applicable, the organization you are authorized to represent. If you do not agree, do not use the services. A separately signed service agreement or order form controls if it conflicts with these Terms; a data-processing agreement controls the processing it covers. Contact start@mozart.financial with questions.
2. Eligibility, accounts, and license
You must be at least 18 and authorized to act for the business whose data you provide. Subject to these Terms and any agreed fees, Mozart grants a limited, non-exclusive, non-transferable right to access and use the service for your internal business purposes during your authorized service period. You are responsible for user permissions, account security, and activity under your control. Notify us promptly of suspected unauthorized access.
3. Services and human approval
Mozart supports retailer-deduction identification, document extraction, reconciliation, evidence preparation, and recovery workflows. Features may be limited, in development, or available only under a separate agreement. AI outputs and extracted fields may be incomplete or wrong. You must review source documents, calculations, recommendations, deadlines, and packets before relying on them. You retain authority over dispute submissions, settlements, write-offs, and accounting write-backs; supported outbound financial actions require the applicable explicit approval. Connecting an account is not approval of an individual financial action. Mozart does not guarantee recoveries, retailer acceptance, or a particular result.
4. Your data and responsibilities
You retain ownership of the data you provide. You grant Mozart permission to host, copy, process, and transmit it only as needed to deliver the requested services and meet applicable obligations, as described in our Privacy Policy and any service agreement. You must have the rights and lawful authority to provide data and connect accounts, supply accurate information, obtain necessary notices or permissions, and comply with retailer requirements and applicable law. Maintain your own necessary records and monitor dispute deadlines. Mozart’s software, branding, and other intellectual property remain ours or our licensors’.
5. QuickBooks, Intuit, and third-party services
QuickBooks Online connections require your authorization through Intuit and are subject to Intuit’s terms, permissions, availability, and API limitations. Mozart is an independent service and is not Intuit; no endorsement is implied. QuickBooks and Intuit are trademarks of their respective owner. We access connected data to provide the features you authorize. You can revoke access through Intuit’s connected-app controls or contact us to disconnect. Disconnection stops future access but does not itself delete imported data, end your contract, or waive accrued fees. Third-party products, links, and integrations have their own terms and privacy practices; their outages or changes may affect functionality.
6. Acceptable use and confidentiality
Do not use the service unlawfully, submit fraudulent claims, upload malicious content, access another customer’s data, bypass security or approval controls, interfere with the service, or reverse engineer it except where law permits. Do not resell access without permission. Each party must protect the other’s non-public business information and use it only for the relationship, allowing disclosure to people and providers who need it under appropriate obligations, or where law requires. This does not restrict information independently developed, lawfully obtained elsewhere, or already public without breach.
7. Fees, billing, and taxes
Pricing, contingency percentages, billable recoveries, payment timing, cancellation, and any refund rights must be set out in an accepted order or service agreement. These Terms alone do not set a fee or authorize a charge. Where contingency pricing is agreed, fees apply only to recoveries attributable to the services under that agreement. You are responsible for applicable taxes other than taxes on Mozart’s income. Disputed charges should be raised promptly at start@mozart.financial.
8. No professional advice or financial commitment
Mozart provides workflow software and operational support, not legal, tax, accounting, investment, or lending advice. You remain responsible for professional judgments and should consult qualified advisers when needed. Use of the service does not create a fiduciary relationship or a commitment to lend, purchase receivables, or provide funding. Any financing or referral arrangement requires separate terms.
9. Availability, warranties, and liability
To the extent permitted by law and except for express commitments in a signed agreement, the services are provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant uninterrupted service or error-free outputs. To the extent permitted by law, neither party is liable under these Terms for indirect, consequential, special, or punitive damages or lost profits. Each party’s aggregate liability under these Terms is limited to the greater of US$100 or the fees paid or payable to Mozart for the affected service in the preceding 12 months. These exclusions and limits do not apply to fraud, willful misconduct, your payment obligations, or liability that cannot lawfully be limited; a signed agreement may provide different limits.
10. Suspension, termination, and data requests
You may stop using the website at any time and request account closure by contacting us; subscription or service cancellation follows your agreement. We may suspend or terminate access for material breach, security risk, legal requirements, or discontinuation, with reasonable notice and an opportunity to remedy where practicable. On termination, the license ends and accrued obligations remain. Request a data export or deletion at start@mozart.financial; retention and exceptions follow the Privacy Policy and applicable agreement. Provisions intended to survive, including ownership, confidentiality, accrued fees, and liability limitations, survive termination.
11. Changes and general provisions
We may update these Terms and the effective date. Material changes will receive notice appropriate to the service and applicable law; where acceptance is required, we will obtain it. Changes do not retroactively alter accrued rights. If a provision is unenforceable, the remaining provisions continue to apply. Failure to enforce a provision is not a waiver. Neither party may assign an agreement except with consent or as part of a lawful merger or business transfer, subject to applicable customer protections. Governing law and venue, if specified in a signed agreement, apply; otherwise they are determined by applicable law. Nothing in these Terms removes mandatory statutory rights. Please contact start@mozart.financial first so we can try to resolve a concern.
